Part I: Scope & Acceptance

1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Ark Platforms Europe Limited (“Ark Platforms”, “we”, “us”, or “our”). This agreement governs your access to and use of our website, mobile applications, APIs, and any other digital service related thereto (collectively, the “Services”), including:

  • Web Development
  • Software Solutions
  • Mobile Apps
  • UI/UX Design
  • 3D Design
  • Digital Marketing
  • Game Development
  • Company Formation

By accessing the Services, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms & Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the Services and must discontinue use immediately.

2. Eligibility & Legal Capacity

The Services are intended for users who are at least 18 years old. By using the Services, you represent and warrant that you have the full legal capacity to enter into a binding contract and that you are not a person barred from receiving services under the laws of the United Kingdom or other applicable jurisdictions. If you are accessing the Services on behalf of a company or legal entity, you represent that you have the authority to bind such entity to these terms.

3. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms & Conditions at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms & Conditions, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms & Conditions to stay informed of updates. Your continued use of the Services after the date such revised terms are posted will constitute your acceptance of the changes.

Part II: Use of Services & User Responsibilities

4. User Representations

By using our platform, you represent and warrant that: (a) all registration information you submit will be true, accurate, current, and complete; (b) you will maintain the accuracy of such information and promptly update it as necessary; (c) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (d) you will not use the Services for any illegal or unauthorized purpose; and (e) your use of the Services will not violate any applicable law or regulation.

5. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. Prohibited activities include, but are not limited to: (a) systematically retrieving data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us; (b) tricking, defrauding, or misleading us and other users; (c) circumventing, disabling, or otherwise interfering with security-related features of the platform; (d) disparaging, tarnishing, or otherwise harming, in our opinion, us and/or the Services; (e) using any information obtained from the Services in order to harass, abuse, or harm another person; and (f) using the Services in a manner inconsistent with any applicable laws or regulations.

6. User Registration & Account Security

You may be required to register with the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable. You are responsible for maintaining the security of your account and must immediately notify us of any unauthorized use of your credentials.

Part III: Intellectual Property & Content

7. Intellectual Property Rights

Unless otherwise indicated, the Services and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United Kingdom, foreign jurisdictions, and international conventions. The Content and the Marks are provided on the Services “AS IS” for your information and personal use only.

8. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal business purposes or personal use as permitted by the functionality of the Services. Any use of the Services or the Content other than as specifically authorized herein, without our prior written permission, is strictly prohibited and will terminate the license granted herein.

9. User-Generated Contributions

The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality, and may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Services (collectively, "Contributions"). You retain ownership of your Contributions; however, by posting Contributions, you automatically grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, and disclose such Contributions for any purpose.

Part IV: Payments, Subscriptions & Refunds

10. Fees & Payment

We accept various forms of payment through our secure third-party processors. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us.

11. Subscription Services

Certain parts of our Services are billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (such as daily, weekly, monthly, or annually). At the end of each billing cycle, your subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your subscription renewal either through your online account management page or by contacting our customer support team.

12. Refund Policy

All sales are final and no refund will be issued, except as otherwise required by law or specified in our separate Refund Policy. If you are a consumer located in the European Union or the United Kingdom, you may have specific statutory rights regarding a "cooling-off" period. Please contact our support team to discuss any specific concerns regarding payments and refunds.

Part V: Disclaimers, Liability & Indemnification

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO THE SERVICES.

14. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

15. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Terms & Conditions; (4) any breach of your representations and warranties set forth in these Terms & Conditions; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services.

Part VI: Termination & Modifications

16. Term and Termination

These Terms & Conditions shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS & CONDITIONS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS & CONDITIONS OR OF ANY APPLICABLE LAW OR REGULATION.

17. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our platform. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times.

Part VII: Legal Governance & Jurisdiction

18. Governing Law

These conditions are governed by and interpreted following the laws of England and Wales. The use of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. If your habitual residence is in the EU or UK, and you are a consumer, you additionally possess the protection provided to you by obligatory provisions of the law of your country of residence. Ark Platforms Europe Limited and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Manchester, which means that you may make a claim to defend your consumer protection rights in regards to these Conditions of Use in the UK, or in the EU country in which you reside.

19. Dispute Resolution

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms & Conditions, you and we agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one person to the other.
